Terms of Service

The quick version: your catalog stays yours. What Masira generates for you is a suggestion to review, not a guarantee; we can't promise how third-party AI assistants rank you. Use the platform on your own channels, pay for what you agreed to, and you can leave (and take everything with you) whenever you want.

These Terms of Service (the "Terms") are an agreement between Masira, Inc. ("Masira", "we", "us") and you or the company you represent ("you"). They govern your use of Masira's websites and the Masira dashboard (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

The Service

Masira helps brands make their product catalogs readable to AI shopping assistants: importing and normalizing catalog data, generating AI-enriched attributes and copy, analyzing customer reviews and social content from your own channels, and measuring how AI assistants surface your products. The Service can also assemble your catalog into agent-ready feeds that you download and submit to AI shopping platforms, and on plans that include it, publish approved updates directly to your own store or feed targets. Features vary by plan, and we improve the Service continuously; features may change over time.

The Service is offered to brands in the United States, the United Kingdom, Canada, Australia and the European Union. Measurement can be run for any market listed in the dashboard, including individual European countries and the European Union as a whole, whichever country your company is in. Choosing a market changes how AI assistants are asked; it does not change where the Service is hosted, which is described in our Privacy Policy.

Your account

You must provide a valid email address to create an account. Sign-in uses one-time codes sent to your email, so keeping access to that inbox secure is your responsibility, as is everything that happens under your account. Accounts are for business use; you must be at least 16 and have the authority to bind the company you sign up for.

Your content

You retain full ownership of everything you bring to the Service: your catalogs, product data, imagery, reviews, and social content ("Your Content"). You grant us a limited license to host, process, analyze, and display Your Content solely to operate and improve the Service for you.

You are responsible for having the necessary rights to the content you connect: catalogs you upload, storefronts you point us at, and social accounts you link must be yours or ones you are authorized to use.

AI-generated output

Parts of the Service produce machine-generated content: enriched attributes, rewritten product copy, suggested target queries, and diagnostic analyses. This output is generated by AI models and is provided as suggestions for your review; it may contain inaccuracies, and you decide what to approve and publish. Masira does not guarantee that AI-generated output is accurate or error-free, and does not guarantee any particular ranking, placement, or visibility of your products in third-party AI assistants such as ChatGPT, Perplexity, or Gemini.

As between you and Masira, approved AI-generated output about your products becomes part of Your Content, and you own it to the extent permitted by law. The same responsibility applies to publishing: nothing is written back to your store or included in a feed without your approval, and when you submit a feed to a third-party platform, that platform's terms govern what happens there.

Acceptable use

You agree not to:

• use the Service for anything unlawful, or upload content that infringes someone else's rights;
• connect accounts, storefronts, or data sources you do not own or have authority over;
• attempt to probe, disrupt, or overload the Service, or circumvent usage limits;
• reverse engineer the Service or use it to build a competing product;
• resell or provide access to the Service to third parties without our agreement.

We may suspend or limit accounts that violate these rules.

Fees and payment

Paid plans are purchased from within the dashboard; the current plans, prices, and any add-ons are shown there before you subscribe. Enterprise plans are quoted and invoiced through our sales team under their own agreement.

Subscriptions are billed in advance on a monthly or yearly cycle and renew automatically until canceled. Payments are processed by Stripe under their terms; your card details go to Stripe directly and are never stored by Masira. You can change plans, update payment methods, or cancel at any time from the billing portal in the dashboard. Cancellation takes effect at the end of the current billing period, and you keep access until then.

If a payment fails, Stripe retries your card and we keep your account open for a reasonable grace period; if the balance remains unpaid, we may suspend access until it is settled. Fees are exclusive of taxes, which you are responsible for, and are non-refundable except where the law requires otherwise. If we change our prices, the new prices apply from your next billing cycle, and we will give you reasonable advance notice.

Third-party services

The Service interoperates with third-party platforms: social networks, review platforms, AI model providers, and payment processors. Those services have their own terms and availability; we are not responsible for them, and features that depend on them may change if the third party changes or withdraws access.

Intellectual property

The Service itself, its software, design, and everything that isn't Your Content, belongs to Masira. If you send us feedback or suggestions, we may use them without obligation to you.

Termination

You can stop using the Service and delete your account at any time from the dashboard settings; deletion permanently removes your account and Your Content from the Service. We may suspend or terminate accounts that materially breach these Terms, and we will give notice where reasonable. Sections that by their nature should survive termination (including ownership, disclaimers, and liability limits) survive.

Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Masira's total liability under these Terms is limited to the amounts you paid us in the twelve months before the claim arose or, if you have paid nothing, one hundred US dollars. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You will defend and indemnify Masira against third-party claims arising from Your Content or your breach of these Terms, and we will defend and indemnify you against third-party claims that the Service itself infringes their intellectual-property rights.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and disputes will be resolved in the state or federal courts located in Delaware.

Changes to these Terms

We may update these Terms as the Service evolves. If we make material changes we will update the date at the top of this page and, where appropriate, notify you by email or in the dashboard. Continuing to use the Service after changes take effect means you accept the updated Terms.
